Terms of Use

Last updated: April 2026

1. Acceptance of Terms

By booking a call, purchasing a service package, or engaging Dar Bordiny ("Service Provider") in any capacity related to Your Voice, On LinkedIn ("the Service"), you ("Client") agree to be bound by these Terms of Use in full. If you do not agree, do not proceed with booking or purchase.

2. Nature of the Service

The Service is a professional ghostwriting and content strategy service. The Service Provider drafts LinkedIn posts, hooks, narratives, articles, and related written content on behalf of the Client. All content is delivered to the Client for their own review, approval, and independent use.

The Service Provider does not manage, access, operate, or log into the Client's LinkedIn account or any other platform account at any time. The Client is solely and exclusively responsible for how, when, and whether they choose to use any content delivered under this agreement.

3. Client Representations and Warranties

By engaging the Service, the Client represents, warrants, and covenants that:

  • All information provided to the Service Provider — including professional background, credentials, achievements, business details, and opinions — is truthful, accurate, and not misleading
  • The Client has the full legal right to publish and distribute content based on the information they provide
  • The content, once published, will not infringe upon the intellectual property, privacy, or reputational rights of any third party
  • The Client will not use delivered content to make false claims, misrepresent their qualifications, or deceive their audience in any way
  • The Client understands that ghostwriting is a legal, widely accepted, and ethical professional practice and is entering this agreement in good faith
  • The Client is solely responsible for ensuring their use of any platform, including LinkedIn, complies with that platform's own terms of service and community guidelines
  • The Client acknowledges that certain account behaviors — including but not limited to automation tools, mass messaging, buying followers, credential sharing, or artificial engagement — are broadly considered violations of LinkedIn's terms of service and carry a significant risk of account restriction or permanent ban. The Service Provider has no involvement in, knowledge of, or responsibility for any such behaviors

Any breach of these representations constitutes a material breach of this agreement and releases the Service Provider from all liability arising from or related to that breach.

4. Client Responsibilities

The Client agrees to:

  • Participate in scheduled onboarding and content calls as agreed
  • Review and approve all content before publishing
  • Publish content using their own account and at their own discretion
  • Respond to revision requests and delivery communications within 48 hours where possible
  • Provide accurate and complete information to enable effective content creation

5. Revisions

Each package includes up to two (2) revisions per post. Revision requests must be submitted within 48 hours of delivery. Requests submitted after this window, or exceeding the included revisions, may be subject to additional fees at the Service Provider's discretion.

6. Minimum Commitment and Payment

All packages require a minimum commitment of three (3) consecutive months. By purchasing a package, the Client agrees to pay the full monthly fee for each month of the minimum commitment period regardless of usage, content approval delays caused by the Client, or early termination initiated by the Client.

Payment is due at the start of each billing month. Failure to pay within 7 days of the due date will result in suspension of the Service until payment is received. The Service Provider reserves the right to terminate the engagement without refund in the event of non-payment beyond 14 days.

7. Intellectual Property

Upon receipt of full payment for a given month, all content delivered to the Client during that month becomes the sole intellectual property of the Client. The Service Provider retains no ownership over delivered content once payment is received.

The Service Provider retains the right to reference the general nature of the working relationship for portfolio or marketing purposes, without disclosing any confidential Client information.

8. Confidentiality

The Service Provider agrees to keep all information shared by the Client — including business strategy, personal background, and professional details — strictly confidential and will not disclose it to any third party without the Client's prior written consent, except as required by law.

9. Misrepresentation by Client

The Service Provider's work is entirely dependent on the information provided by the Client. The Service Provider has no independent ability to verify the accuracy, legality, or appropriateness of information shared by the Client.

If any content delivered under this agreement is found to be based on false, misleading, defamatory, or legally problematic information provided by the Client, the Client bears sole and full responsibility for any resulting consequences. The Service Provider shall bear no liability whatsoever in such circumstances and shall be entitled to immediate termination of the engagement without refund.

The Client agrees to indemnify and hold the Service Provider harmless from any claim, loss, damage, cost, or expense — including legal fees — arising directly or indirectly from misrepresentations made by the Client, whether intentional or negligent.

10. Limitation of Liability

To the fullest extent permitted by applicable law, the Service Provider shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to the Service.

In no event shall the Service Provider's total liability to the Client exceed the total amount paid by the Client in the thirty (30) days immediately preceding the claim.

11. Indemnification and Hold Harmless

The Client agrees to indemnify, defend, and hold harmless Dar Bordiny, her affiliates, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses — including reasonable legal fees — arising out of or related to the Service, the Client's use or publication of any delivered content, or any breach of these Terms by the Client.

This indemnification and hold harmless obligation is unconditional and survives the termination of this agreement.

12. Platform Compliance — Client's Sole Responsibility

The Client acknowledges that they are solely responsible for understanding and complying with the terms of service, community guidelines, and acceptable use policies of any platform on which they choose to publish content, including LinkedIn.

The Client further acknowledges that certain behaviors are widely known to violate platform policies and carry significant risk of account restriction or permanent ban. These include but are not limited to:

  • Use of third-party automation tools for posting, messaging, or engagement
  • Purchasing followers, connections, or artificial engagement
  • Mass unsolicited messaging or connection requests
  • Any form of credential sharing or unauthorized account access
  • Artificially inflating content performance metrics

The Service Provider has no involvement in, and accepts no responsibility for, the Client's account management practices or any consequences arising from them. Any platform action taken against the Client's account as a result of the Client's own behavior is entirely the Client's responsibility.

13. Service Provider Discretion

The Service Provider reserves the right, at her sole discretion and without obligation to provide justification, to:

  • Decline any prospective client at the eligibility call stage or at any point prior to a signed agreement
  • Decline to write content that she deems unethical, misleading, defamatory, harmful, or inconsistent with her professional values
  • Terminate an engagement with reasonable written notice if the working relationship is no longer viable

In the event of termination initiated by the Service Provider without cause, the Client will be refunded a prorated amount for undelivered work in the current billing period. This is the Client's sole remedy in such circumstances.

14. Survival

The following sections survive termination of this agreement indefinitely: Section 3 (Client Representations and Warranties), Section 9 (Misrepresentation by Client), Section 10 (Limitation of Liability), Section 11 (Indemnification and Hold Harmless), Section 12 (Platform Compliance), and Section 8 (Confidentiality).

15. Independent Contractor

The Service Provider operates as an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency between the parties.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.

17. Amendments

The Service Provider reserves the right to update these Terms at any time. Clients will be notified of material changes with reasonable notice. Continued use of the Service following notice of changes constitutes acceptance of the revised Terms.

18. Entire Agreement

These Terms, together with any signed service agreement or proposal, constitute the entire agreement between the parties with respect to the Service and supersede all prior discussions, representations, or agreements.

By booking a call or purchasing a package, you confirm that you have read, understood, and agreed to these Terms in full.
